These Terms of Service (“Terms”) govern your access to and use of the RiskSlate website, applications, APIs, software, and services (collectively, the “Services”) provided by RiskSlate, Inc. (“RiskSlate,” “we,” “our,” or “us”).
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.1. Eligibility
You must be at least 18 years old and have the legal authority to enter into these Terms.
If you are using the Services on behalf of an organization, government agency, or other entity, you represent that you have authority to bind that organization to these Terms.2. Our Services
RiskSlate provides AI-powered software designed to assist organizations with compliance, investigations, risk management, document analysis, workflow automation, and related business processes.
Certain features may include:
Artificial intelligence assistance
Document analysis

Reporting and dashboards
Integrations with third-party services

Features may change over time and may be added, modified, or discontinued without notice.3. User Accounts

You retain ownership of all information, documents, files, prompts, and other content you submit to the Services (“Customer Data”).
You grant RiskSlate a limited license to process Customer Data solely for the purpose of providing and improving the Services, maintaining security, complying with legal obligations, and supporting your use of the platform.6. AI Features
Certain Services use artificial intelligence to generate recommendations, summaries, analyses, or other outputs.
AI-generated content:
May contain inaccuracies or omissions.
Should be independently reviewed before use.
Does not constitute legal, financial, compliance, investigative, or professional advice.
Should not be the sole basis for important business or legal decisions.
You remain responsible for reviewing and validating any AI-generated output before relying on it.7. Intellectual Property
The Services, including all software, interfaces, trademarks, branding, documentation, graphics, and content provided by RiskSlate, are owned by RiskSlate or its licensors and are protected by applicable intellectual property laws.
Except as expressly permitted in these Terms, no rights are granted to copy, distribute, modify, or create derivative works from the Services.8. Feedback
If you provide suggestions, ideas, or feedback regarding the Services, you grant RiskSlate a worldwide, perpetual, irrevocable, royalty-free license to use that feedback without restriction or compensation.9. Third-Party Services
The Services may integrate with third-party providers, including cloud services, authentication providers, communication platforms, and other software.
RiskSlate is not responsible for the content, availability, or practices of third-party services.
Your use of third-party services is governed by their respective terms and privacy policies.10. Security
RiskSlate implements commercially reasonable administrative, technical, and organizational safeguards to protect customer information.
However, no method of electronic storage or transmission is completely secure, and we cannot guarantee absolute security.11. Availability
We strive to keep the Services available and reliable.
However, we do not guarantee uninterrupted access and may temporarily suspend the Services for maintenance, upgrades, security incidents, or operational reasons.12. Subscription and Payment
Certain Services require payment.
Subscription fees, billing terms, and renewal terms will be presented at the time of purchase or in a separate agreement.
Failure to pay applicable fees may result in suspension or termination of Services.
Unless otherwise stated, fees are non-refundable.13. Confidentiality
Each party agrees to protect confidential information received from the other party using reasonable care and to use such information only as necessary to perform under these Terms.
This obligation does not apply to information that:
Is publicly available through no fault of the receiving party
Was already lawfully known
Is independently developed
Is required to be disclosed by law14. Suspension and Termination
RiskSlate may suspend or terminate access to the Services if:
These Terms are violated
Required by law
Necessary to protect the security or integrity of the platform
Fraudulent or abusive activity is detected
You may stop using the Services at any time.
Upon termination, your right to access the Services ends.15. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RISKSLATE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND AVAILABILITY.
WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT AI-GENERATED OUTPUTS WILL ALWAYS BE COMPLETE OR ACCURATE.16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RISKSLATE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL.
RISKSLATE’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO RISKSLATE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.17. Indemnification
You agree to defend, indemnify, and hold harmless RiskSlate and its officers, employees, affiliates, and partners from any claims, liabilities, damages, losses, or expenses arising from:
Your use of the Services
Your violation of these Terms
Your violation of applicable law
Your infringement of another party’s rights18. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles.
Any disputes arising from these Terms shall be resolved in the state or federal courts located in New York County, New York, and each party consents to the jurisdiction of those courts.19. Changes to These Terms
We may update these Terms from time to time.
